This Terms of Use (this "Terms of Use") is entered into by and between you ("you," "User," "Patient," "Clinician," "Referring Provider," or "Customer," as applicable) and The Bridge Health Collective, Inc., an Arizona corporation ("Bridge Health Collective," "BHC," "Company," "we," or "us"). The following terms and conditions govern your access to and use of any and all of our digital care coordination and private practice support services, including our website at https://www.bhc.healthcare and related subdomains, any web based applications, dashboards, or interactive features accessible through our website, any application program interfaces ("APIs") or other BHC online services, and any other tools, technology, programs, workflows, and software operated by or on behalf of the Company (collectively, the "Platform") and all associated services and features made available through the Platform (collectively, the "Services").

Please read this Terms of Use carefully before you start to use the Platform. By accessing, browsing, submitting information through, registering for an account on, creating a profile within, submitting a referral through, claiming a referral through, initiating secure messaging through, or otherwise using the Platform or Services, you acknowledge that you have read, understood, and agree to be bound by and abide by this Terms of Use and our Privacy Policy.

By creating an account, submitting a referral, claiming a referral, or otherwise using the Platform, you are deemed to be signing this Terms of Use electronically. You agree that your use of a keypad, mouse, touchscreen, or other device to select an item, button, icon, checkbox, or similar act constitutes your signature (an "E Signature") and acceptance of this Terms of Use as if actually signed by you in writing.

Eligibility and Age Requirements

The Platform is intended for Users located in the United States. Unless otherwise expressly permitted by the Company in writing, the Platform is offered and available only to individuals who are at least 18 years of age. By using the Platform, you represent and warrant that you meet the applicable eligibility requirements and that you are legally permitted to enter into this Terms of Use.

Changes to the Terms of Use

We may revise and update this Terms of Use from time to time. Your continued use of the Platform after the effective date of the revised Terms of Use constitutes your acceptance of the changes.

Our Services

BHC is a perinatal mental health care coordination and private practice support organization. The Platform is designed to facilitate referral submission, referral routing, clinician claiming of referrals, scheduling and capacity management tools, secure messaging, administrative support, and other practice support features.

Important clinical role clarification. The Company supports access, coordination, infrastructure, and practice support services. Clinical services, including psychotherapy, psychiatric medication management, prescribing, diagnosis, and treatment, are provided solely by independently licensed Clinicians operating independent practices. The Company does not provide medical diagnosis, treatment, therapy, counseling, crisis intervention, or prescribing services, and the Company does not create a clinician-patient relationship.

No emergency use. The Platform is not designed for emergency situations and does not provide emergency services. If you believe you are experiencing an emergency, you should call 911 or seek immediate emergency assistance.

Roles and Relationship of the Parties

Patients. A "Patient" is a User who submits a referral or intake request and who may receive clinical services from an independently licensed Clinician through coordination supported by the Platform.

Clinicians. A "Clinician" is an independently licensed mental health professional who is verified for licensure and scope of practice and who may voluntarily claim referrals. Clinicians are not employees, agents, or representatives of the Company.

Referring Providers. A "Referring Provider" is a healthcare provider or organization that submits, or assists with submitting, a referral through the Platform.

No medical advice from the Company. Any content made available by the Company through the Platform for educational or informational purposes is general in nature and is not medical advice.

Accessing the Platform and Account Security

We reserve the right to withdraw, modify, suspend, or amend the Platform or any Services offered through the Platform in our discretion and without prior notice. You are responsible for maintaining the devices, software, internet connection, and technical requirements necessary to access the Platform. You are solely responsible for all activity that occurs under your account.

User Content and Submissions

"User Submissions" include information submitted by Patients, Clinicians, and Referring Providers through the Platform. You are responsible for ensuring that your User Submissions are accurate to the best of your knowledge.

Privacy and PHI. Certain User Submissions may constitute protected health information. The Company's collection, use, disclosure, and safeguarding of information, including PHI where applicable, is governed by the Privacy Policy and any applicable agreements.

Intellectual Property Rights

The Platform and its entire content, features, and functionality are owned by the Company, its licensors, or other providers of such material and are protected by United States and international intellectual property laws.

Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with this Terms of Use. You agree not to submit false information, impersonate any person, use the Platform for advertising, or attempt unauthorized access.

Termination for Misuse or Unsafe Behavior

The Company reserves the right to suspend, disable, or permanently terminate your access to the Platform at any time, with or without notice, if in our reasonable judgment you violate this Terms of Use.

Emergency and Crisis Situations

The Platform is not intended for use in emergencies and does not provide crisis intervention or emergency services. If you are experiencing thoughts of self-harm, suicidal ideation, or are otherwise in crisis or immediate danger, you should stop using the Platform and seek immediate assistance by calling 911 or contacting a qualified emergency or crisis service.

Information About You

All information we collect through or in connection with the Platform is governed by our Privacy Policy. You may request to access, correct, update, or delete your personal information by contacting us at connect@bridgehealthcollective.com.

Disclaimer of Warranties

YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM. IF THE LIMITATIONS SET FORTH ABOVE ARE HELD INAPPLICABLE, OUR MAXIMUM LIABILITY SHALL BE LIMITED TO THE GREATER OF (A) $100.00 OR (B) SUCH LARGER AMOUNT AS APPLICABLE LAW REQUIRES.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of this Terms of Use or your use of the Platform.

Governing Law and Jurisdiction

All matters relating to the Platform and this Terms of Use shall be governed by and construed in accordance with the internal laws of the State of Arizona. Any legal suit, action, or proceeding shall be instituted exclusively in the federal or state courts located within the State of Arizona.

Arbitration

At the Company's sole discretion, the Company may require you to submit any dispute to final and binding arbitration administered by the American Arbitration Association in accordance with its applicable consumer arbitration rules.

Waiver and Severability

If any provision of this Terms of Use is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Entire Terms of Use

This Terms of Use and our Privacy Policy constitute the sole and entire Terms of Use between you and The Bridge Health Collective, Inc. regarding the Platform.
